Tata Sons board of directors’ decision by a majority vote to reappoint N Chandrasekaran as executive chairman and proceed with listing has brought renewed focus on the group’s governance structure, with experts seeking clarity on the limits of powers of the board of directors and the trusts which own majority shares in the company. While contestability of promoter director's proposals is key to good governance, prolonged misalignment between the board of directors and shareholders is not desirable, they said.
